Terms of Service

These Terms govern access to and use of Eclipse Render Manager, including the website, accounts, desktop applications (Eclipse Render Manager and Render Node), documentation, and related services (together, the “Software” or “Service”). By creating an account (including by checking acceptance of these Terms at signup), downloading, installing, or using the Software, you accept these Terms.

If you do not agree, do not use the Software.

1. Provider

Eclipse Render Manager is a product of Federico Ventura SRLS. Throughout these Terms, “Eclipse”, “we”, “us”, and “our” mean Federico Ventura SRLS.

2. Intellectual property (ownership)

All intellectual property rights in Eclipse Render Manager and related materials belong exclusively to Federico Ventura SRLS, except for third-party components expressly identified as such.

This includes, without limitation:

• Source code, binaries, installers, updates, and scripts.
• User interfaces, visual design, icons, layouts, and interaction patterns.
• Trademarks, trade names, logos, and branding, including “Eclipse”, “Eclipse Render Manager”, and “Render Node” as used for this product.
• Website content, documentation, help materials, screenshots, demos, and marketing assets.
• Architecture, workflows, and original know-how embodied in the Software.

Access to or use of the Software does not transfer any ownership to you. Except for the limited licence in Section 4, no licence under any intellectual property right is granted by implication or otherwise.

You may not copy, reproduce, modify, adapt, translate, reverse engineer, decompile, disassemble, extract, scrape, redistribute, publicly display, sublicense, rent, lease, sell, or create derivative works from the Software or its materials, in whole or in part, except where mandatory law expressly allows it or we give prior written authorisation.

You may not use Eclipse branding, logos, or product identity to create a competing product, confusingly similar service, or unofficial distribution without our prior written consent.

Third-party DCCs, render engines, libraries, trademarks, and tools remain the property of their respective owners and are subject to their licences. Your scene files, project assets, and rendered frames remain yours (or your licensors'). We claim no ownership over your creative content.

3. The product

Eclipse Render Manager is software for managing local and distributed rendering workflows, including:

• Local mode for a single workstation queue.
• Distributed mode with a Coordinator and Render Nodes on a private farm.
• Integrations with supported DCCs and engines as described on the site and in the docs.

Feature availability depends on your entitlement (beta or paid plan), platform support, and configuration. We may change, improve, or discontinue features as the product evolves.

4. Licence grant

Subject to these Terms and your valid entitlement, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to install and use the Software for your internal professional or personal rendering work, within the limits of your plan or beta licence.

You may not:

• Share, resell, lease, or redistribute licences, seats, or installers.
• Circumvent license validation, seat limits, node limits, or feature gates.
• Use the Software to provide an unauthorized hosted render service to third parties using our branding.

5. Beta access

Eclipse may be offered as a free beta. Beta access is discretionary, time-limited as we decide, and provided as-is. Features may be incomplete, unstable, or change without notice. Roadmap items are not commitments.

When the beta ends, paid plans may become required for continued use. We will provide advance notice by email to registered accounts before beta access ends. Continued use after paid plans open requires accepting the applicable plan and payment terms.

6. Plans and limits (after beta)

When paid plans are live, entitlements may include Starter and Studio (or successor names). Plan limits can include Local seats, Distributed Render Node capacity, and whether GPU Frame Distribution is enabled. Current marketing descriptions are on the Pricing page and may be updated.

We may enforce limits through license validation. Exceeding or bypassing limits is a material breach of these Terms.

7. Accounts, validation, and connectivity

You must be at least 18 years old to create an account. You must provide accurate account information and keep credentials confidential. At signup you must confirm acceptance of these Terms and the Privacy Policy. The Software may require periodic online validation. If validation fails beyond any grace period we define, features may be restricted until validation succeeds.

Eclipse Render Manager sends the limited account-linked aggregate product-usage counters described in the Privacy Policy. The counters are used for product improvement and capacity planning and do not include scenes, project paths, render outputs, previews, logs, or individual job records.

You may request account closure or exercise privacy rights by contacting us as described in the Privacy Policy. Closing your account ends your licence entitlement for that account.

8. Optional Discord job notifications

The desktop Software may offer optional Discord notifications for render-job status events you enable in Settings. You connect Discord yourself (OAuth and a webhook for a channel you choose), you can disconnect at any time, and delivery is only to that channel. Use of Discord remains subject to Discord's terms and policies. We do not control Discord availability, moderation, or account enforcement.

9. Payments and billing

While beta is free, no payment is required for standard beta access. When paid plans open, payments are processed by Stripe (or the checkout provider we designate). Prices exclude tax unless stated; applicable tax may be added at checkout. Subscription renewals, cancellations, and invoices follow the checkout flow and provider rules.

10. Acceptable use

You must use the Software lawfully and responsibly. You may not use it to:

• Violate law, third-party rights, or export controls.
• Attack, disrupt, or overload our services or other users.
• Probe or abuse licensing, authentication, or farm coordination systems.

You are responsible for your farm network, shared storage, DCC/engine licences, and render output. If you enable Discord notifications, you are responsible for the Discord server and channel you select and for complying with Discord's rules there.

11. Feedback

If you send ideas, suggestions, or feedback, you grant Federico Ventura SRLS a worldwide, royalty-free, perpetual right to use them to improve the Software without obligation to you. Feedback does not transfer ownership of your scene content.

12. No warranty

The Software is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation, or that renders will meet production deadlines. We do not warrant Discord availability or delivery of optional Discord notifications.

13. Limitation of liability

To the maximum extent permitted by law, Federico Ventura SRLS is not liable for data loss, production delays, render failures, lost profits, or indirect or consequential damages arising from use of the Software.

Where liability cannot be excluded, our aggregate liability for paid use is limited to the fees you paid for the Software in the three (3) months before the claim. Mandatory consumer rights remain unaffected.

14. Suspension and termination

We may suspend or terminate access for abuse, fraud, licence circumvention, or material breach of these Terms. You may stop using the Software and close your account. Sections that by nature should survive (including intellectual property, disclaimers, and liability limits) survive termination.

15. Governing law

These Terms are governed by the laws of Italy, without affecting mandatory consumer protections of your country of residence where applicable. Disputes are subject to the competent courts determined by applicable law.
