Throughout these Terms, “Eclipse”, “we”, “us”, or “our” refers to Federico Ventura SRLS.

2. Acceptance of Terms

By accessing or using Eclipse Render Manager (“Software”), you agree to be bound by these Terms of Service.

If you do not agree to these Terms, you may not use the Software.

3. License & Subscription

Eclipse Render Manager is provided as a subscription-based software service.

Your subscription grants you:

A non-exclusive
Non-transferable
Revocable license

To use the Software according to your selected plan (Indie or Pro).

License limitations:

Device or seat limits apply based on your subscription tier.
Pro plan device activation limits are enforced through license validation.
Licenses may not be shared, resold, or redistributed.

4. Early Access Program

The Indie plan may be offered as an Early Access product.

By purchasing Early Access:

You acknowledge the Software is in active development.
Features may be incomplete.
Bugs or instability may occur.
Roadmap items are subject to change.

If purchased under a “Founder Price” offer:

Pricing remains locked for the duration of your active subscription.
If you cancel, the Founder price may not be restored.

5. Payments & Billing

All payments are processed securely through Gumroad, Inc.

By purchasing Eclipse:

You agree to Gumroad's Terms of Service.
Billing, refunds, and payment processing are handled by Gumroad.

Federico Ventura SRLS is not responsible for payment processing errors caused by third-party services.

6. Usage Restrictions

You may not:

Reverse engineer
Decompile
Disassemble
Modify
Redistribute
Resell
Circumvent license validation mechanisms

Any attempt to bypass licensing restrictions may result in termination of your license without refund.

7. License Validation & Connectivity

Eclipse may require periodic online validation.

If the Software cannot validate its license within the allowed grace period:

Certain features may be restricted
Distributed rendering may be disabled

This is necessary to enforce subscription compliance.

8. No Warranty

The Software is provided “as is” without warranty of any kind.

We do not guarantee:

That the Software will be error-free
That it will meet your specific requirements
That it will operate uninterrupted

Use at your own risk.

9. Limitation of Liability

To the maximum extent permitted by law:

Federico Ventura SRLS shall not be liable for:

Data loss
Production delays
Render failures
Financial losses
Indirect or consequential damages

Total liability shall not exceed the amount paid for the subscription in the last 3 months.

10. Termination

We reserve the right to suspend or terminate licenses in cases of:

Abuse
License circumvention
Fraudulent activity
Violation of these Terms

Termination may occur without prior notice.

11. Intellectual Property

Eclipse Render Manager, including:

Software
Branding
Website
UI design
Documentation
Graphics
Code
Marketing materials

Are the exclusive intellectual property of:

Federico Ventura SRLS

Unauthorized use, copying, or distribution is strictly prohibited.

12. Governing Law

These Terms are governed by the laws of Italy.

Any disputes shall be resolved in the competent courts of Italy.
